Viant Technology Inc. has announced that Elizabeth Williams has stepped down from its Board of Directors and Audit Committee due to her new position as CEO of El Pollo Loco Holdings, Inc. This move did not impact the company’s operations but resulted in Viant Technology falling out of compliance with Nasdaq’s Audit Committee requirements. As a result, the company was issued a notice by Nasdaq.

In response to this issue, Viant Technology plans to appoint a new independent director before the cure period granted by Nasdaq expires in June 2025. This decision was made following the company’s annual stockholder meeting, where significant voter participation resulted in the election of two Class III directors and the ratification of Deloitte & Touche LLP as the independent auditor for the upcoming fiscal year.
